Please read these Terms of Service carefully before using the Darmateq website or engaging our services. By accessing our website or entering into a service agreement with us, you agree to be bound by these terms. If you do not agree with any part of these terms, you may not use our services.
1. Acceptance of Terms
By accessing and using the Darmateq website (darmateq.com) or by engaging Darmateq for software development or consulting services, you accept and agree to be bound by these Terms of Service and our Privacy Policy. These terms apply to all visitors, clients, and others who access or use our services.
2. Services Description
Darmateq provides software development, technology consulting, and digital product design services. Our services include but are not limited to:
- Mobile application development (iOS, Android, cross-platform)
- Web application and SaaS platform development
- AI agent development and workflow automation
- Custom software engineering
- Technology strategy and consulting
The specific scope of services for each engagement is defined in a separate Statement of Work (SOW) or Service Agreement entered into between Darmateq and the client.
3. Intellectual Property
Website content: All content on this website — including text, graphics, logos, and code — is owned by Darmateq and protected by applicable copyright and trademark laws.
Deliverables: Upon full payment of all agreed fees, and as specified in the applicable SOW, Darmateq assigns all intellectual property rights to the custom software deliverables to the client. This includes source code, design assets, and documentation created specifically for the client's project.
Pre-existing IP: Darmateq retains ownership of all pre-existing intellectual property, frameworks, libraries, and tools used in delivering services. Clients receive a perpetual, non-exclusive license to use such components as incorporated into their deliverables.
4. Payment Terms
Payment terms are defined in each individual service agreement. Generally:
- Projects are invoiced on a milestone-based or monthly retainer basis as agreed in writing.
- Invoices are due within 14 days of issuance unless otherwise agreed.
- Late payments may incur a monthly interest charge of 1.5% or the maximum permitted by law.
- Darmateq reserves the right to suspend services for accounts with outstanding balances past the due date.
- All fees are non-refundable unless explicitly stated in writing in the service agreement.
5. Limitation of Liability
To the maximum extent permitted by applicable law:
- Darmateq shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from the use of our services or deliverables.
- Our total liability to any client for any claim arising out of or related to our services shall not exceed the total fees paid by the client to Darmateq in the three months preceding the claim.
- We do not warrant that our services will be error-free, uninterrupted, or meet all client requirements, though we commit to industry-standard quality practices.
6. Confidentiality
Both parties agree to maintain the confidentiality of proprietary information shared during the course of the engagement. Darmateq treats all client project information, business data, and technical specifications as strictly confidential. We do not disclose client information to third parties without explicit written consent, except as required by law or to subcontractors bound by equivalent confidentiality obligations.
7. Governing Law
These Terms of Service shall be governed by and construed in accordance with applicable laws. Any disputes arising from these terms or our services shall be resolved through good-faith negotiation in the first instance. If resolution cannot be reached, disputes shall be submitted to binding arbitration or competent courts as specified in the applicable service agreement.
8. Changes to Terms
Darmateq reserves the right to modify these Terms of Service at any time. Changes will be effective immediately upon posting to our website with an updated "Last updated" date. Your continued use of our website or services after any changes constitutes your acceptance of the new terms. We encourage you to review these terms periodically.
